Ware Historical Society Organization By-laws

Article I: Name

The name of this organization is the Ware Historical Society.

Article 2: Statement of purpose

This organization has as its objectives the preservation of local artifacts and information, the promotion of local historical research and educational activities to develop the community's awareness of its unique historical heritage. The Ware Historical Society shall cooperate with local, state and national historical agencies in the preservation of historical sites, buildings and materials, and in any other areas of common concern and effort.

Article 3: Membership

Membership in the organization is open to all interested persons, businesses, and organizations on payment to the Treasurer of annual dues as established by the Board. Membership may be terminated by resignation or failure to pay the annual dues, or by non-compliance with the organization's by-laws. The membership year shall be from September 1st through August 3lst.

Article 4: Meetings

Section A The annual meeting of the organization shall be held in June of each year and the officers shall be elected at this meeting. Special meetings may be called by the Board or upon the request of five of the members. Thirty days notice shall be given and notification of agenda for special meetings. Seven members shall constitute a quorum.

Section B Regular meetings shall usually be held on the third Wednesday, September through June, but may be changed at the discretion of the Board of Directors as circumstances require.

Article 5: The Board of Directors

The officers shall be the President, Vice President, Treasurer, Secretary, and Curator.
The Board shall consist of the officers, who are to serve for one year and can be eligible for immediate reelection. Additionally, there will be four other Board members elected by the membership.

Article 6: Board Responsibilities

The President shall preside at the meetings of the organization and shall represent the organization to the public. The president may appoint an auditor and chairmen of standing and ad hoc committees with the concurrence of the Board. The President shall render a report at the annual meeting of the organization. The Vice-president will assume the duties of the President in the latter's absence, and will preside at all Board meetings.

The Treasurer shall be the custodian of funds, collect dues, and receive other income, make payments as authorized by the Board, and keep orderly records, give a report at meetings and render a report at the annual meeting of the organization. In the absence of the President and/or Vice-president, the Treasurer shall assume their responsibilities.

The Secretary shall prepare the minutes of the Board meetings and any business part of the organization meetings, maintain an up-to-date index of members and give timely notice of official gatherings.

The Curator shall be responsible for the documentation and care of historical society collections. The Curator shall render a report at the annual meeting of the organization.

The Board shall provide overall leadership in policy and procedure. Members of the Board of Directors shall chair the following standing committees: program, ways and means, public relations, membership, collections, and nominating.

Any Board member failing to attend three consecutive meetings without a valid excuse shall be terminated from the Board.

Article 7: Amendments

These by-laws may be altered or amended by a two-thirds vote of the members present and voting at a meeting of the organization, provided that the proposed changes have been explicitly included in the call for the meeting.
